Welcome to the website and online store operated by Baabaabox ("we", "us", or "our") at the domain baabaabox.com (the "Site"). This Intellectual Property Rights policy explains ownership and permitted uses of content on the Site, procedures for reporting alleged infringement, and related rights and obligations. By accessing or using the Site, you agree to these terms.

  1. Ownership and Scope

  1. User-Generated Content
  • Any content you submit, post, upload, or otherwise make available on or through the Site — including reviews, images, comments, suggestions, or other materials ("User Content") — grants Baabaabox and its affiliates a worldwide, royalty-free, non-exclusive, transferable, sublicensable, irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content for any purpose, including commercial purposes, in any media now known or later developed.
  • By submitting User Content you represent and warrant that you own or have all rights, licenses, consents and permissions necessary to grant the above license and that the User Content does not infringe, misappropriate or otherwise violate any intellectual property, privacy, publicity, or other rights of any third party.
  • Baabaabox reserves the right (but has no obligation) to remove, edit, refuse to post, or disable access to any User Content that we believe violates these terms or is otherwise objectionable.
  1. Copyright Infringement and DMCA Notice Procedure (U.S.)

  • Baabaabox respects the intellectual property rights of others and expects users of the Site to do the same. If you believe that content available on or through the Site infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA").

  • A proper DMCA notice must include the following:

    • A physical or electronic signature of a person authorized to act on behalf of the copyright owner;
    • Identification of the copyrighted work claimed to have been infringed (or, if multiple works on the Site are covered by a single notification, a representative list of such works);
    • Identification of the material claimed to be infringing and information reasonably sufficient to permit Baabaabox to locate the material on the Site (including the exact URL(s));
    • Your name, address, telephone number, and email address;
    • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
    • A statement, under penalty of perjury, that the information in the notification is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

  • Upon receipt of a proper DMCA notice, Baabaabox will take whatever action we deem appropriate, including removing or disabling access to the allegedly infringing material. We will also provide the person who posted the removed content with information about how to submit a counter-notice.

  1. Counter-Notification (DMCA)
  • If your content has been removed or access disabled due to a DMCA notice and you believe the removal was a mistake or misidentification, you may submit a counter-notification that must include:
    • Your physical or electronic signature;
    • Identification of the removed material and the location where it appeared before removal;
    • A statement under penalty of perjury that you have a good faith belief the material was removed as a result of mistake or misidentification;
    • Your name, address, telephone number, and email address; and
    • A statement consenting to the jurisdiction of the federal district court in the judicial district where your address is located (or, if you are located outside the United States, consenting to the jurisdiction of the United States District Court for the Central District of California) and that you will accept service of process from the claimant.
  • Send counter-notices to copyright@baabaabox.com. After receipt of a valid counter-notice, Baabaabox may restore the material unless the claimant files an action seeking a court order to restrain the alleged infringer.
  1. Infringement Liability and Remedies
  • If you are found to have infringed third-party intellectual property rights, you may be liable for damages, including statutory damages, actual damages, lost profits, attorneys’ fees, and costs. Baabaabox reserves all available legal and equitable remedies, including suspension or termination of user accounts and pursuit of civil or criminal actions where appropriate.

  • To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Baabaabox and its affiliates, and each of their officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or relating to: (a) your breach of these Intellectual Property Rights terms; (b) your User Content; or (c) your violation of any applicable law or the rights of any third party.

  1. Suspension and Termination
  • Baabaabox reserves the right to suspend or terminate access to the Site, remove or disable content, or take other actions it deems necessary if you violate these Intellectual Property Rights terms or infringe third-party rights. Baabaabox is not liable for any damages resulting from such actions.
  1. Changes to This Policy
  • We may revise this Intellectual Property Rights policy from time to time. The revised policy will be effective as of the "Effective date" shown above. Continued use of the Site after posting of changes constitutes acceptance of the revised policy.
  1. Severability
  • If any provision of this policy is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
  1. Governing Law and Jurisdiction
  • This policy is governed by the laws of the United States and the State of California, without regard to conflict-of-law principles. Any dispute relating to this policy or the Site shall be brought exclusively in the state or federal courts located in California, and you and Baabaabox irrevocably consent to the personal jurisdiction of such courts.
  • Where applicable, nothing in this policy prevents Baabaabox from seeking injunctive or other equitable relief in any jurisdiction.

  • This policy constitutes the entire agreement between you and Baabaabox regarding the subject matter herein. Notices required under this policy should be sent to the addresses listed in Section 9.
